The purpose of this meeting is:

  1. To consider and act upon a plan and proposal for merging Cincinnati Interagency Federal Credit Union (“CIFCU”) with and into Kemba Credit Union (“Kemba”), whereby all assets and liabilities of CIFCU will be merged with and into Kemba to form the combined credit union (hereinafter referred to as the “Continuing Credit Union”). Other Information Related to the Proposed Merger:

The Board of Directors has carefully evaluated and analyzed the assets and liabilities of the credit unions and the value of shares in both credit unions. The financial statements of both credit unions, as well as the projected combined financial statement of the Continuing Credit Union, follow as separate documents. In addition, the following information applies to the proposed merger.

Reasons for Merger: The Board of Directors has concluded that the proposed merger is desirable and in the best interests of members because together, we become more — empowering members, communities, and teams through a bold, unified future. Both organizations bring a strong legacy of member satisfaction, operational excellence, financial stability and community impact. The merger is driven by a shared strategic vision to deliver greater value to members and communities where they live, work and play through increased scale and complementary strengths. Combining credit union values with the operational strength of a larger organization, we will deliver meaningful and competitive products, services and experiences. Our shared focus on the members will ensure we stay local even while serving across more locations.

The Anticipated Benefits of the Merger Include:

Personalized Experiences. Our promise to our members includes service through a differentiated experience – one that is frictionless, intuitive and delivered by empathetic, highly engaged teams. The merger will allow the credit union to deliver competitive rates, expanded and more convenient locations and access to nationwide surcharge-free ATMs, better hours and intuitive digital banking. The Continuing Credit Union will serve members with integrity, respect and a deep sense of responsibility to help our members achieve greater financial confidence, resilience and opportunity.

Financial Wellness. The merger will expand our portfolio of products and services to meet diverse needs. Innovative offerings will be paired with financial education resources to empower members, promote long-term financial well-being and ensure all members have the opportunity to grow, thrive and reach their goals. Through access to expert resources, members will receive personalized guidance on budgeting, saving, credit management, debt reduction, homeownership preparation and retirement planning. This personalized support fosters deep financial confidence and delivers lasting member value.

Enhanced Products and Services. This merger is an expansion of what we can offer our members. By combining the complementary strengths of Kemba and CIFCU, we are delivering a broader, more powerful suite of products and services designed to meet members' needs at every stage of life. From high-yield savings products and flexible loan solutions to advanced digital tools and personalized financial guidance, this merger unlocks greater value, more choices and deeper support for every member we serve. This will include:

  • Deposits That Work Harder for Our Members. From saving for a dream vacation to simply seeking more flexibility with deposit options, members will have access to enhanced savings and certificate options.
  • Lending That Understands Real Life. The Continuing Credit Union will create more ways to say “yes” to our members’ financial dreams. While continuing to offer products like secured loans and auto loans, we will also offer payday alternative loans that prioritize relationships over credit scores. Overall, the Continuing Credit Union will offer options for lending with more flexible terms, more tools to build financial strength.
  • An Enhanced Wealth Journey. No matter where our members are in life, their financial future stays on course with wealth management services. The Continuing Credit Union will continue working with members in this area, offering deeper expertise and new opportunities tailored to members’ goals.
  • Mortgages That Move Our Members. Every member who dreams of owning their own home can rest assured that the Continuing Credit Union will work with them to plan, save and purchase when the time is right. Product options will range from construction loans, to FHA and VA loans, helping everyone from first-time homebuyers to military families find a place to call home.
  • Powering Local Business with Heart and Strategy. We believe local businesses are the heartbeat of our communities and we’re here to help them thrive. The Continuing Credit Union will continue a powerful legacy in commercial real estate and treasury services, while adding commercial experience and a business banking team ready to support small businesses.
  • Harnessing Data to Offer What Matters. A critical enabler of creating value for our members will be our ability to harness data-driven insights. The Continuing Credit Union will synthesize strengths to more effectively capture and act on member feedback, allowing us to tailor offerings, improve service delivery and innovate with greater precision. Doing so will ensure we are grounded in what matters most to our members, fostering deeper relationships, trust and long-term financial well-being.

Net Worth: As member-owned financial cooperatives, both credit unions have accumulated capital through the collective participation and patronage of their members. Because CIFCU maintains a substantially higher net worth ratio than Kemba, the Boards of Directors of both credit unions believe it is appropriate and equitable to distribute a portion of CIFCU's excess net worth prior to consummation of the merger so that members receive a fair benefit from the capital they helped create. The Boards have approved a Net Worth Equalization plan that includes the following:

  1. Member Bonus Dividend A one-time bonus dividend equal to 1.00% of eligible members' deposit balances as of December 31, 2025.
  2. Loan Interest Rebate A rebate equal to 25% of loan interest paid by eligible members during calendar year 2025.
  3. Employee Retention and Transition Benefits NCUA Regulations require merging credit unions to disclose certain increases in compensation that any of the merging credit union's officials or the five most highly compensated employees have received or will receive in connection with the merger. The following individuals have received or will receive such compensation:

She will be retained as a consultant for up to three months following the completion of the merger under the terms of a consulting agreement. She will receive a consulting fee of $158,426.82 which is equal to one weeks’ pay for each year of service (42 years), three years’ worth 401(k) forfeited contributions, three years of Medicare reimbursement lost due to the merger, and all applicable cost of living adjustments and taxes.

All CIFCU branches will close as a result of this merger. Attached is a list of all Continuing Credit Union branch locations.

Changes to Services and Member Benefits: As summarized above, the Continuing Credit Union represents an expansion of what we can offer our members. We will offer competitive rates, expanded and more convenient locations and access to nationwide surcharge-free ATMs, better hours and intuitive digital banking. Will my account number change? Yes. a prefix will be added to the beginning of your current account number and will be included in the communication sent following the merger vote.

Will I have to change my direct deposit? No. Your direct deposit will automatically route to your Kemba Account.

CIFCU's Routing and Transit number will continue to be valid and processed by the Federal Reserve after the merger.

Can I still us my current checks? Any checks written prior to the legal merger will be processed. Kemba will mail you a free, new batch of checks.

What will happen to the CIFCU employees? Each employee has been offered and accepted a position with Kemba, pending a "yes" vote for the merger. Karen will be winding up local operations and then retiring after more than 42 years with CIFCU.

Are the CIFCU branches located in the EPA & NIOSH facilities closing? Yes. Kemba does not meet the rules to remain inside federal government buildings.

Can I still use Shared Branching? Yes. Kemba members have access to the Shared Branch Network, offering more than 5,000 locations in 50 states.

How should I vote on the merger? The Board of Directors recommends voting in favor of the proposed merger because they believe it is in the best interests of the membership. However, the decision ultimately belongs to each member. Staff members cannot recommend how you should vote, but they are available to answer questions and provide information about the merger and voting process.

Do I need to attend the special meeting to vote on October 13th? No. Members do not need to attend the special meeting in person to vote. A mail ballot is provided so eligible members can conveniently cast their vote without attending the meeting.

Will I still be able to speak with a member of the CIFCU Team? All CIFCU employees except Karen will join the Kemba team.  Initially, they will be training on the Kemba systems, so it may be a few weeks before you may be able to reach them directly.

Is all this merger talk true? Yes, CIFCU is asking its members to vote on a merger with Kemba Credit Union.

Is my money safe? Absolutely! CIFCU is very financially healthy and passed its Annual Audit just fine.

Then why is CIFCU asking to merge? The Credit Union is in good condition now but there are some things to worry about in the future.  It's already tough to grow the number of members, deposits, & loans and it's becoming increasingly more difficult. CIFCU needs to grow to succeed.

Isn’t there any other choice? None that made sense. Believe me, the Board & I talked about options a lot. Ultimately though, our responsibility is to take care of YOUR money in a safe & sound manner. It is believed that this is the best way to do that.

Why Kemba? There were a lot of things the Board & I looked at when choosing the best merger partner for you, our member, and all your favorite CIFCU employees. Kemba checked all the boxes. I’ve also known & volunteered with both the CEO & one of their Vice Presidents for over 20 years. They are “good people” who I trust implicitly.

What’s going to happen to the CIFCU employees? Angie, Tina, Kathy, & Patrick are all going to work with Kemba, They got to provide input on what type of jobs they wanted. Their wages/salaries and years on the job will all carry over.  They’ll get better benefits beginning on Day 1. CIFCU will also pay them a “retention bonus” as a reward for their years of service. I will be retiring once the Main Office is vacated & all the records are verified.

What’s in it for me? CIFCU will be paying Bonus Dividends &/or Interest Rebates to eligible members on September 30th.  (Call for details.) Kemba will be providing you with great member service at more locations with a whole bunch more services.  Kemba also believes in the Credit Union philosophy of “People Helping People” so you can look forward to being one of their members!

What happens if the merger is not approved? There may not be a future for CIFCU. Without sufficient Volunteers to serve on the Board of Directors and Supervisory Committee, federal regulators may consider CIFCU to be lacking long-term leadership. If that happens, the Credit Union could be dissolved (conserved). The federal regulators would either look for another credit union to take over CIFCU or they could "sell off" our Loans and Shares.

In either case: CIFCU would no longer exist.

-The employees would lose their jobs with no guarantee of being placed in another credit union.

-The Main Office would close.

-Members could lose access to Shared Branching. As previously stated, the Board and CEO have put together a merger plan that would benefit CIFCU members and employees.

Kemba is the best choice for all.

What do CIFCU Volunteers do? Credit Union volunteers attend meetings monthly and special meetings as necessary. They are responsible for setting policies and rates, they hire and oversee the CEO, approve budgets and strategic planning for the credit union. They represent the membership.

Where can I comment on the proposed merger? Please visit the NCUA (National Credit Union Administration) to comment on the proposed merger at https://www.regulations.gov/docket/NCUA-2026-1618.

How do I verify a rumor that I heard about the proposed merger? If someone other than a CIFCU employee provides you with information about the proposed merger, please verify the information by calling CIFCU at (513) 569-7878 or emailing [email protected].

CIFCU has always helped Federal employees during a government shutdown, will Kemba? When Karen spoke with Kemba, she emphasized the importance of supporting members during government shutdowns. Kemba and CIFCU share the same philosophy of "People helping people", which is why we chose Kemba as a merger partner. Kemba offers deferments, skip-a-pays, and a specific loan for Government Shut Down situations. They understand members are not getting paid, and they do whatever is necessary to help.

When will I get a new debit/credit card? You will receive your new Kemba card(s) in the mail near the end of October. You will start using your new cards on November 1, 2026. (You will continue to use your CIFCU cards through October 31, 2026.)

Can I still use Shared Branching? Yes. Kemba members have access to the Shared Branch Network, offering more than 5000 locations in all 50 states.

Can I still use my current checks? Any checks written prior to the legal and system merger will clear.  Kemba will mail you a free, new batch of checks.

What happens after the merger vote? Following a successful merger vote, members can expect ongoing communication and guidance from Kemba to help ensure a smooth transition and introduce the expanded products, services, and conveniences available to them.  Members can also follow www.kemba.com/cifcu for updates and information.

Will I still have online banking access? If so, how will I sign in? Yes, you will have online banking access. You will receive additional information in the mail regarding how to sign-in to the Kemba system, after the merger vote.

Will CIFCU members' online/mobile banking username and password be the same on Kemba's systems? No. On November 2, 2026, CIFCU members will need to create a new online banking ID and Password on the Kemba website or the mobile app.  At that time, CIFCU members can enroll in electronic statements, set E-Alert preferences and link accounts.  A current email address and phone numbers will need to be on file for the member to set up online banking and receive the validation code.

Will I still have bill pay? If so, will I have to set up new merchants? Kemba offers the same Bill Pay as CIFCU. Kemba is still working with Bill Pay to link history and merchant information but cannot guarantee that all history or merchant details will transfer. Members may want to save or print any important Bill Pay history or merchant information they may need before the transition.

Will I still have my overdraft protection loan? Yes. Your loan contract will remain the same.

Will I still be able to deposit checks using the mobile app? Yes. However, you will need to download Kemba's mobile app to use this feature.

Will my family members be able to join Kemba? Yes! You will still be able to share the gift of credit union membership with your family.

I have a co-worker (at EPA or NIOSH).  Will they be able to join Kemba? Yes! Anyone who is eligible to join CIFCU will be able to join Kemba after the merger.

I live in a part of town where there aren’t any Kemba branches nearby.  What do I do?  You will still have access to more than 5000 Shared Branch locations. You can call Kemba (513/762-5070), or you can use Kemba’s electronic services such as online banking (www.kemba.com), mobile check deposit, and more.  Also keep in mind that Kemba is strategically adding new branches as they grow.

How do I find a Shared Branch location near me? Text your ZIP Code to 91989, visit co-opcreditunions.org, or download the COOP ATM Shared Branch Locator for iPhone or Android.

When will I get a new debit/credit card? You will receive your new Kemba card(s) in the mail near the end of October. You will start using your new cards on November 2, 2026. (You will continue to use your CIFCU cards through October 31, 2026.)

Will my new debit/credit card be a tap card? Yes. Your new card(s) will be a tap card.

Will I still have Apple, Google or Samsung Pay? Yes. Kemba has the same payment options, but you will need to update information utilizing the Kemba affiliation for these methods.

Tell me something I should be really excited about with Kemba if the merger is approved.  Your direct deposit will be posted to your account as soon as Kemba receives the information from your company, payroll provider, pension processor, etc.  The deposit won’t show as “pending” anymore.  It will just be deposited!

Aren’t you going to miss us? More than you know!  That was the hardest part of the whole process. We have families that are 4 generations deep who have been with CIFCU for nearly all 75 years we’ve existed. We’ve been here for you through highs & lows – and vice versa.  The memories will be treasured forever. Thank you for your support!
